1. Acceptance of Terms
By accessing or using Optimize IQ, you agree to these Terms of Service. If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
2. The Services
Optimize IQ provides software tools for affiliate and performance marketing operations, including creative asset management, ad-building workflows, campaign-launch workflows, and related billing, support, and administrative features.
3. Eligibility and Accounts
- You must provide accurate registration and account information.
- You are responsible for maintaining the confidentiality of login credentials.
- You are responsible for activity that occurs under your account or workspace.
- You must promptly notify us if you believe your account has been compromised.
4. Trials, Subscriptions, and Billing
Optimize IQ offers subscription-based Services, and some accounts may start with a free trial. Paid subscriptions may include recurring charges, additional seat charges, storage add-ons, taxes, or other fees disclosed at checkout or in the billing area of the product.
Payment processing and subscription management may be handled by Stripe or other authorized payment providers. By subscribing, you authorize us and our payment processor to charge the payment method associated with your account in accordance with your selected plan and any applicable add-ons.
You may cancel your subscription through the billing settings or customer portal made available in the Services.
Unless we expressly state otherwise in writing, cancellations take effect at the end of the current paid period, and fees already paid are non-refundable except as required by law.
5. Acceptable Use
You agree not to:
- use the Services for unlawful, fraudulent, or deceptive activity;
- interfere with or disrupt the integrity, security, or performance of the Services;
- attempt to gain unauthorized access to systems, workspaces, data, or credentials;
- upload or transmit malicious code, spam, or infringing content;
- scrape, copy, reverse engineer, or exploit the Services except as permitted by law; or
- use the Services in a way that violates third-party platform rules, advertising policies, or applicable privacy laws.
6. Customer Data and Permissions
You retain responsibility for the data you or your users submit to the Services, including campaign information, creative assets, and integration-connected data. You represent that you have all rights and permissions necessary to upload, process, and instruct us to use or disclose that data in connection with the Services.
7. Third-Party Services and Integrations
Optimize IQ may integrate with third-party services such as Meta, Stripe, email providers, hosting providers, and infrastructure vendors. Your use of third-party services is subject to those providers' own terms and policies, and we are not responsible for third-party products or services.
8. Intellectual Property
Optimize IQ and its related software, design, content, branding, and underlying technology are owned by us or our licensors and are protected by intellectual property laws. Subject to these Terms and your plan, we grant you a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes.
If you provide feedback, suggestions, or ideas about the Services, we may use them without restriction or obligation to you.
9. Service Availability and Changes
We may modify, update, suspend, or discontinue parts of the Services at any time. We will try to provide reasonable notice for material changes when practical, but we do not guarantee uninterrupted availability.
10. Suspension and Termination
We may suspend or terminate access to the Services if you violate these Terms, fail to pay amounts due, create security or legal risk, or use the Services in a way that could harm us, other customers, or third parties. You may stop using the Services at any time.
11. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available." We disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or suitable for every use case.
12. Limitation of Liability
To the maximum extent permitted by law, Optimize IQ and its affiliates, officers, employees, agents, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities arising out of or related to the Services or these Terms.
To the maximum extent permitted by law, our total liability for claims arising out of or related to the Services or these Terms will not exceed the amount you paid us for the Services during the 12 months before the event giving rise to the claim.
13. Indemnification
You will defend, indemnify, and hold harmless Optimize IQ and its affiliates, officers, employees, agents, suppliers, and licensors from and against claims, liabilities, damages, losses, and expenses arising from your content, your use of the Services, your violation of these Terms, or your violation of applicable law or third-party rights.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may update the date above and provide additional notice when appropriate. Continued use of the Services after the updated Terms take effect constitutes acceptance of the revised Terms.
